Terms & Conditions
Apex Coating Systems Ltd
Company Number: 15438056
Registered Office: Stringer House, 34 Lupton St, Hunslet, Leeds, LS10 2QW
Effective date: 20/09/2026
These Terms & Conditions apply to products and services supplied by Apex Coating Systems Ltd (“APEX”, “we”, “us” or “our”), including products purchased through our website, quotations, bespoke equipment, design and engineering services, delivery, installation and commissioning.
By placing an order with APEX, you agree to these Terms & Conditions.
- Quotations & Orders
Unless otherwise stated, quotations are valid for 30 days.
A quotation is based on the information and specification available to APEX at the time it is prepared. Changes to dimensions, specification, quantities, site requirements, materials, supplier costs or other project requirements may result in additional charges.
A quotation does not become a binding order until it has been accepted by APEX and any required payment or deposit has been received.
Website orders may be reviewed by APEX before acceptance. We reserve the right to cancel an order where there is an obvious pricing or specification error, or where we are unable to reasonably supply the product as ordered.
Prices are exclusive of VAT unless expressly stated otherwise.
- Bespoke & Made-to-Order Products
Many APEX products are manufactured or configured specifically to customer requirements.
This includes bespoke spray booths, paint mixing rooms, drying rooms, overhead track systems, specially configured ductwork and extraction systems, non-standard dimensions and products modified specifically for a customer.
Bespoke and made-to-order products cannot normally be cancelled or returned once manufacture or supplier procurement has commenced, subject to any statutory rights that apply.
Once a deposit has been received, APEX may place orders with manufacturers and suppliers promptly to avoid delays to the project.
Where APEX has made supplier or manufacturing commitments, the deposit may become non-refundable to the extent that those costs cannot be recovered.
If a customer cancels after manufacturing or procurement has commenced, the customer is responsible for reasonable costs already incurred or contractually committed by APEX. Costs that would no longer be incurred as a result of cancellation, such as delivery or installation costs not yet committed, will not be charged.
- Drawings, Specifications & Changes
For bespoke projects, customers may be provided with drawings or specifications for approval before manufacture.
Customers are responsible for carefully checking all dimensions, layouts, equipment positions, access arrangements and other details before approving drawings.
Written approval from the customer, or from someone authorised by the customer or who reasonably appears to have authority to act on their behalf, allows APEX and/or its manufacturing partners to proceed.
Changes requested after approval may be accepted at APEX’s discretion and may result in additional design, engineering, manufacturing, material, delivery or installation costs.
APEX is not responsible for errors in customer-provided dimensions, drawings, photographs or other information.
- Payment
Payment terms will be stated on the relevant quotation, order confirmation or invoice and may vary depending on the size and nature of the order.
For larger bespoke projects, payment may typically be structured as:
- 50% deposit with order
- 40% on delivery
- 10% on completion/commissioning
Other payment arrangements may apply, including 50% deposit and 50% on delivery or payment in full with order.
The payment terms stated on your quotation take precedence.
APEX may use customer payments to meet commitments to manufacturers, suppliers and project partners.
If an invoice becomes overdue, APEX may suspend manufacture, delivery, installation or commissioning until payment is received. For business customers, applicable statutory interest and recovery costs may also be charged.
- Delivery
Standard UK mainland delivery is available where stated in the quotation or product listing.
Additional charges may apply for Scottish Highlands, islands, Northern Ireland, offshore locations or deliveries requiring specialist transport.
Unless specifically included in the quotation, the customer is responsible for providing suitable access and unloading/lifting equipment, including forklifts, telehandlers, cranes or HIAB equipment where required.
If the customer is unable to accept delivery or the site is not ready, APEX may charge reasonable additional costs including storage, transport, re-delivery, waiting time, additional labour and manufacturer or subcontractor costs.
Any delivery-stage payment remains due in accordance with the original payment schedule.
- Installation & Site Requirements
Where installation is included, the customer must provide a suitable, clear and reasonably level working area with safe and unobstructed access.
Unless specifically included in the quotation, APEX’s installation price does not include:
- foundations or structural alterations;
- floor preparation;
- building modifications;
- building openings;
- cutting or sealing building holes for ductwork;
- making good;
- asbestos or hazardous-material removal;
- specialist lifting equipment;
- connection to customer mains services; or
- other building or site works.
Required electrical, gas, compressed-air, water, drainage and other services must be available and suitable unless their provision is specifically included in the quotation.
If installation is delayed because the site is unsuitable or unavailable, reasonable additional attendance, labour, travel, accommodation and subcontractor costs may be charged.
APEX may postpone work where site conditions are unsafe or unsuitable.
- Installation by Others & Overhead Track Systems
Where installation is not included, the customer is responsible for arranging installation by a suitably competent and appropriately qualified person where required.
APEX is not responsible for damage or failure caused by incorrect third-party installation.
For overhead track systems, installation must be carried out by a competent person and the required safe working load (SWL) test must be completed before the system is used.
- Delivery, Risk & Ownership
Customers should inspect goods as soon as reasonably practicable following delivery and report visible damage, shortages or missing items promptly, ideally with photographs and details recorded on delivery documentation where possible.
Risk in physical goods normally passes to the customer when the goods are delivered to the customer’s site.
Ownership remains with APEX until the relevant goods have been paid for in full where retention of title applies.
- Returns & Cancellation – Business Customers
Returns of standard stock products by business customers are accepted only at APEX’s discretion.
Where APEX agrees to a return, the customer must normally notify us within 14 days of delivery. Products must be unused, undamaged, complete and in their original condition.
The customer is responsible for return carriage.
Accepted business returns are subject to a minimum 20% restocking and handling charge. APEX may charge a higher reasonable amount where its actual costs exceed 20%.
Bespoke, made-to-order, specially configured or customised products are not normally eligible for return.
- Consumer Customers
Where a customer is purchasing as a consumer, mandatory consumer rights will apply.
Nothing in these Terms & Conditions is intended to remove or restrict rights that cannot legally be excluded.
Where a statutory cancellation right applies to an online consumer purchase, cancellation, returns and refunds will be handled in accordance with applicable consumer law.
Certain bespoke or customised products may be exempt from statutory cancellation rights where the applicable legal requirements are met.
- Warranty
Where products are manufactured by a third party, the manufacturer’s standard warranty will apply where provided. APEX will assist with warranty claims where reasonably possible.
Customers should contact APEX before arranging third-party repairs or modifications to equipment supplied by us.
Warranty claims may require photographs, videos, serial numbers, operating information or other details so that APEX or the manufacturer can investigate the issue.
Warranty coverage does not normally include damage or failure caused by:
- normal wear and tear;
- misuse or abuse;
- negligence;
- incorrect operation;
- failure to maintain equipment;
- unauthorised modifications or repairs;
- incorrect third-party installation;
- unsuitable electrical supplies or utilities;
- unsuitable operating conditions; or
- consumable and normal wear items such as filters, lamps, belts and seals.
These provisions do not affect any statutory rights that cannot legally be excluded.
- Delays Outside Our Control
APEX will not be responsible for delays caused by circumstances outside our reasonable control.
These may include severe weather, natural disasters, fire, flood, war, civil unrest, strikes, government action, changes in law, transport disruption, manufacturer or supplier failure, material shortages, energy or utility failures and other events beyond our reasonable control.
Quoted delivery and installation dates are estimates unless expressly guaranteed in writing.
Where a significant delay occurs, APEX will take reasonable steps to keep the customer informed and mitigate the effects where possible.
- Customer Responsibilities
Customers must provide accurate and complete information required for quotation, design, manufacture, delivery and installation.
Customers are responsible for obtaining any site-specific permissions, landlord approvals, planning or building-related approvals and other permissions applicable to their premises unless APEX has expressly agreed to obtain them.
Customers must also ensure that their premises and operations comply with applicable workplace, fire, environmental and other requirements.
- Intellectual Property
APEX drawings, CAD files, calculations, designs, layouts, specifications and technical information remain the property of APEX or the relevant manufacturer unless otherwise agreed in writing.
Such information must not be copied, reproduced, modified or provided to another supplier for the purpose of obtaining an equivalent system without prior written permission.
- Photography, Reviews & Marketing
APEX may photograph completed installations and products supplied by us and use those photographs for our website, portfolio, case studies, social media, advertising and other marketing purposes.
APEX may identify the customer’s company and display its company name or logo in connection with completed projects.
APEX may also use customer reviews, testimonials and feedback for marketing purposes, including identifying the customer’s company where appropriate.
APEX will not knowingly publish confidential technical or commercially sensitive information under this provision.
- Liability
Nothing in these Terms & Conditions excludes or limits liability that cannot legally be excluded or limited.
To the maximum extent permitted by law, APEX will not be responsible for indirect or consequential losses, including loss of profit, revenue, production, business, contracts, anticipated savings or business interruption.
APEX will not be responsible for problems arising from inaccurate customer information, unsuitable site conditions, incorrect third-party installation, unauthorised modifications, misuse, customer-caused delays or circumstances outside our reasonable control, except where applicable law provides otherwise.
- Complaints
Complaints should be submitted to APEX in writing using the contact details published on our website.
We aim to provide an initial response within 3 working days and will be given a reasonable opportunity to investigate and resolve the matter.
- General
These Terms & Conditions, together with the applicable quotation, order confirmation, approved drawings and specifications, form the agreement between APEX and the customer.
APEX may use manufacturers, suppliers and subcontractors to fulfil orders.
If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions will continue to apply.
A failure by APEX to enforce a provision does not constitute a waiver of that provision.
The customer may not transfer an order or contract without APEX’s written consent, subject to applicable law.
No third party has the right to enforce these Terms & Conditions unless expressly stated otherwise.
- Privacy
Customer personal information will be handled in accordance with APEX’s Privacy Policy and applicable data-protection legislation.
Please refer to our Privacy Policy for further information.
- Governing Law
These Terms & Conditions are governed by the laws of England and Wales.
Subject to any mandatory consumer rights, the courts of England and Wales will have jurisdiction over disputes arising from these Terms & Conditions or any contract with APEX.
